Standard Terms
Terms that apply to estimates, projects, and support work.
These Standard Terms apply to work Novaj Tech, LLC ("Novaj Tech," "we," "us") performs for you under an estimate, quote, or invoice. That includes projects, installations, on-site and remote visits, assessments, and support work that is not covered by a separate Managed Services Agreement.
1. How our documents fit together
Your estimate lists the work, the price, any deposit, and anything specific to your job. These terms cover everything else. If you have a signed services agreement with us, such as a Managed Services Agreement, that agreement controls where it differs from these terms. If documents conflict, this order applies: a signed services agreement, then your approved estimate, then these Standard Terms. Together they are the complete agreement for the work.
2. Scope and change orders
An estimate covers only the work listed on it and is valid until the date shown. Anything not listed is excluded, including electrical or line-voltage work and warranty on hardware or work that existed before ours. Unless listed on the estimate, additional cabling, upgrades to existing equipment, and coordination with internet providers or other third parties are also excluded. Changes to the work need a written change order: a short description of the change with its price and timing, approved by you by email, text, or signature. Changes to requirements or site conditions may affect price and timeline.
3. Payment
Prices are final and inclusive. No processing fees or surcharges are added at payment. Any deposit shown on your estimate is due to schedule the work, and the balance is due on completion. Work is complete when the listed items are installed or delivered and working. Minor follow-up items do not hold up the balance, and we finish them promptly. Invoices are due by the date shown. Amounts more than 10 days past due accrue interest at 1.5% per month, and we may pause scheduled or ongoing work while a balance is past due. Returned payments incur a $20 fee. If a past-due balance is referred for collection, you agree to pay reasonable collection costs, including attorney fees and court costs.
You can pay by the secure online link on your invoice (bank or card), by check payable to Novaj Tech, LLC, or by Zelle to besnik@novaj.tech. Our payment details never change by email. If you get a message saying they have, call (914) 714-4312 before sending payment. Please contact us directly about any billing concern before starting a chargeback or payment dispute.
4. Deposits and project cancellations
If you cancel an approved project before work starts, we refund your deposit minus the cost of hardware already ordered and time already spent at the applicable hourly rate. If you cancel after work starts, you pay for work performed and hardware ordered to date.
5. Scheduling, cancellations, and waiting time
Work is scheduled once the estimate is approved and any required deposit is received. Business days are Monday through Friday, excluding major holidays. To cancel or reschedule an on-site visit at no charge, let us know at least one business day before the scheduled start (for example, by 10:00 AM Friday for a 10:00 AM Monday visit). A cancellation with less notice, or after we arrive, including when no one is there to give us access, is billed at the minimum on-site visit charge (the trip fee plus the first hour) at the rates on your estimate or quote.
If work can't proceed because access, equipment, information, or people aren't available, waiting time beyond a 15-minute grace period is billed at the applicable hourly rate in 15-minute increments.
Work you request outside business hours (Monday through Friday, 9 AM to 5 PM Eastern), on weekends, or on major holidays is billed at 1.5 times the applicable trip fee and hourly rate. We may reschedule at no charge for safety, severe weather, or emergencies.
6. Site conditions and access
You provide safe access to the work areas, ceilings, closets, and network equipment, along with any building approvals the work needs. If your building requires a certificate of insurance, tell us before the visit so we can send it. You're responsible for working power (outlets and circuits) where equipment will be installed. If power isn't ready when we arrive, extra trips or time are billed as a change. Conditions we couldn't see when we estimated the job, such as fire-rated walls, concrete or plaster, blocked or inaccessible ceilings, or hazardous materials, may require a change order. If we find materials that may be hazardous, such as asbestos, we stop work until you have them handled.
Networks, devices, accounts, and systems that aren't listed on your estimate remain your responsibility and your other vendors'. We're not responsible for problems in them, including ones we notice while working, though we'll tell you what we see.
7. Hardware
Equipment and special-order items are non-refundable once ordered. Hardware we supply remains Novaj Tech property until paid in full. Hardware carries the manufacturer's warranty, and we'll help you use it. Manufacturer warranties don't cover labor. After our workmanship warranty ends, labor to diagnose or replace failed hardware is billed at our hourly rate. We don't warrant hardware you supply, and extra time caused by it is billed as a change.
8. Workmanship warranty
We warrant our installation work for 90 days from completion. If something we installed fails in that time because of how we installed it, we fix it at no charge. This warranty doesn't cover hardware failures, damage, power events, changes made by anyone other than us, vendor software or firmware updates, or internet provider issues, and it ends if someone else modifies the work. This is our only warranty. To the extent the law allows, we make no other warranties, express or implied.
9. Data, backups, and security
You're responsible for current backups of affected systems before we start. We're not responsible for loss of data, settings, or third-party software resulting from the work, and we don't warrant hardware or software that existed before our work. With your permission, we connect to your systems through secure remote tools, and you authorize the access the work requires. Security work lowers risk but can't guarantee that systems or accounts will never be compromised.
10. Confidentiality and records
We treat client information we come across as confidential, and we don't access, copy, or share your data beyond what the work requires. We may keep notes, network documentation, and photos of work areas and installed equipment to document the work and support you later. We won't publish photos of your site without your permission.
11. Subcontractors
We may use vetted subcontractors, such as cabling crews, under our supervision. We remain responsible for their work, and we'll tell you before a subcontractor accesses your systems or data.
12. Insurance
Novaj Tech carries commercial general liability and technology errors and omissions insurance. A certificate of insurance is available to you or your building management on request.
13. Limitation of liability
Our total liability for any claim related to our work is limited to the amount you paid for the specific work involved. We're not liable for indirect, incidental, or consequential damages, including lost profits, lost data, or business interruption. These limits apply to the extent the law allows.
14. Law and disputes
New York law governs these terms. Disputes will be heard in the state courts located in Westchester County, New York.
15. Approvals and notices

16. Changes to these terms
We may update these terms by posting a new version with a new date. The version in effect when you approve an estimate applies to that work. Past versions stay available at their own links.
